Second position

Second position funding: a second advance behind the first.

A second position advance sits behind an existing one. It can solve a real gap and is easy to overuse, so the arithmetic is worth doing first.

How it works

The first advance holds position one on your receivables. A second funder advances money behind it, with its own debit. Reviews focus on how the first is performing and how much room revenue has left.

Burden check

Monthly revenue $70,000. The first advance costs $7,000 a month. A second at $5,000 a month brings committed payments to $12,000, about 17% of revenue.

  • Check that the month still covers payroll, rent and tax remittances with the combined payments.
  • Consider whether a consolidation would lower the combined amount.

Questions to ask before a second advance

Does the first agreement allow additional financing, and does it require notice or consent? What is the combined payment as a share of monthly deposits, in a normal month and in your slowest? Is the second advance's term long enough that the two do not overlap painfully at the end? If the answers are comfortable, a second position can be a sensible bridge.

If any answer is uncertain, a consolidation into one agreement is worth pricing first.

Warning signs

Taking a second advance to make the first payment is the clearest warning sign. If the new money simply services the old debit, the underlying cash-flow issue is unsolved. The better path is to resolve the gap itself: shorter payment terms with customers, a smaller advance or a restructuring.

Common questions

Is stacking a bad idea?

It can be, because the burden compounds. It can also be a bridge. The arithmetic decides.

What do funders look at?

Payment history on the first advance, deposits, account health and the combined payment as a share of revenue.
