How should you plan the cash side of buying a business?

Short answer: Ask for two to three years of financial statements, tax returns and recent bank statements, and compare what the seller reports with what the bank shows. Fund the price with owner equity, bank or BDC financing and vendor take-back, not short-term advances, and budget separately for the working capital you will need after closing.

Key facts

  • Compare reported results with bank statements
  • Acquisitions use equity, bank and vendor financing
  • Short-term advances rarely suit the purchase price
  • Budget working capital after closing

Overview

Buying an established business can be faster than building one, but the cash planning starts long before closing.

Understand the real cash flow

Ask for at least two to three years of financial statements, tax returns and recent bank statements. Compare what the seller reports with what the bank shows.

Adjust for the seller's personal expenses and any costs you will add.

Plan the financing

Acquisitions are commonly funded with a mix of owner equity, bank or BDC financing and vendor take-back financing from the seller. Short-term advances are rarely suitable for the purchase price itself.

Lenders will want your plan, experience and a down payment.

Budget for working capital

After closing, you need cash to run the business: inventory, payroll and receivables. Many buyers underestimate this and start under pressure.

Ask whether working capital is included in the price.

Check obligations

Search provincial registries for security registrations against the business. Confirm any advances, leases or loans are paid or properly assumed.

Review leases, supplier contracts and key customer agreements for change-of-control clauses.

Plan the transition

Keep customers and staff informed, and ask the seller to stay involved for a transition period. Revenue often dips briefly after a change of owner.

Typical starting points

Monthly revenueTypically from around $20,000 a month in deposits for Canadian files. The exact line varies by funder and by file.
Time in businessTypically about 12 months. Newer businesses can be reviewed, but the options narrow.
Account healthLimited low-balance or negative days. Funders read the last few months of bank statements for this.
CreditScores from 500 are considered. A score of 600 or higher opens more options and better offers.
DocumentsA signed application and recent business bank statements, typically the last four months.
Existing advancesFiles with an existing advance can be reviewed, including second position.

Your checklist

  1. Compare reported revenue with bank deposits.
  2. Search provincial registries for registrations.
  3. Budget working capital after closing.
  4. Review leases and key contracts.
  5. Agree on a transition period with the seller.

Guides like this one are general education written for Canadian owners. They are most useful when you turn them into a few concrete actions with dates, and revisit them when your numbers change. If funding is part of your plan, the same preparation that makes the plan work, clear numbers and a specific purpose, also makes an application faster and stronger.
