How it actually works

Unsecured means no specific collateral. A merchant cash advance, revenue-based financing or unsecured line of credit usually does not require pledging your house, car or equipment. The funder relies on your business revenue and, often, a UCC filing on business receivables or general business assets.

Guarantees create personal exposure. Most small-business funders ask owners to sign a personal guarantee, which can make the owner responsible for the obligation if the business does not pay. In merchant cash advances, owners often sign a performance guarantee instead, which typically covers the owner commitments not to divert receivables, close the business without notice or misrepresent information, rather than guaranteeing repayment if sales simply decline. The exact language varies, so read it carefully.

Structure matters too. For a sole proprietor, there is no legal separation between owner and business, so business debts are personal regardless of guarantees. An LLC or corporation can limit personal liability for obligations the owner did not personally guarantee, which is why the guarantee language matters so much.
